In this mergers and acquisition litigation proceeding, plaintiff Martin Marietta Materials alleged Vulcan Materials of trying to stop its exchange offer and proxy contest for the hostile takeover of Vulcan Materials on grounds of confidentiality agreement. Plaintiff sought a declaratory judgment that the confidentiality agreements did not bar its unsolicited bid or proxy contest.

The plaintiff was represented by attorneys Robert Zimet, Robert Saunders and James Keyte. The defendant in this case, Vulcan Materials was represented by attorneys Collins Seitz, Andrew Cheung, George Conway and William Savitt
